N Seven Raises Guinness Nigeria Stake to 70.9% After N387.5m Share Purchases

LAGOS: N Seven Nigeria Limited, the investment vehicle of Tolaram Group, has increased its stake in Guinness Nigeria Plc to 70.9 per cent after acquiring more than one million shares in two separate transactions.

The latest purchase involved 499,987 ordinary shares of Guinness Nigeria at N370.90 per share, bringing the value of the transaction to approximately N185.45 million.

The transaction was disclosed to the Nigerian Exchange Limited (NGX) by Guinness Nigeria Company Secretary, Abimbola Ajibola-Jimoh, in a statement titled “Notification of Share Dealing by Insiders.”

The latest acquisition came only days after N Seven purchased another 550,092 Guinness Nigeria shares on August 28, 2026.

The earlier transaction was executed through 25 separate trading lots, with the shares changing hands at prices ranging from N356.40 to N384.80 per share.

The August 28 purchases had a volume-weighted average price of N367.40 per share and were valued at approximately N202.1 million.

With the two acquisitions, N Seven Nigeria purchased a combined 1,050,079 Guinness Nigeria shares, with the total value of the transactions put at approximately N387.5 million.

The latest share purchases further consolidate N Seven’s position as the controlling shareholder of Guinness Nigeria, strengthening Tolaram Group’s influence over the Nigerian brewer.

Guinness Nigeria currently has 2,190,382,819 ordinary shares in issue, according to the disclosure.

N Seven Nigeria serves as the investment vehicle through which Tolaram Group holds its controlling interest in Guinness Nigeria.

Tolaram took control of the brewer in 2024 following the completion of its acquisition of Diageo’s majority shareholding in Guinness Nigeria.

The ownership transition marked a major change in the Nigerian beverage industry, ending Diageo’s long-standing controlling interest in the brewer and ushering in a new phase under Tolaram.

The latest purchases indicate continued consolidation of N Seven’s interest in Guinness Nigeria as the company strengthens its position in the listed beverage manufacturer.

The transactions also underscore the continued activity surrounding Guinness Nigeria’s shares on the Nigerian Exchange, with investors closely monitoring developments involving the company’s ownership structure.

N Seven’s increased stake could further shape the strategic direction of Guinness Nigeria as Tolaram continues to oversee the brewer’s operations and growth in the Nigerian market.
